Draft for legal review
This text is a working draft. It has not been reviewed by a lawyer and is not yet in force. Text in [square brackets] is a placeholder to complete before publishing.
The contact address hello@shamelhub.sa is a placeholder and must be replaced with a monitored address before launch.
These terms form the agreement between Shamel Hub and the business that creates an account. They cover what the service does, your responsibilities, the yearly subscription, renewal, cancellation and what happens to your data.

1. The agreement
These Terms of Service are an agreement between [legal entity name, commercial registration number] operating Shamel Hub ("we", "us") and the business that creates an account ("you", "the customer"). The person who registers confirms that they are authorised to act for that business.
Our Privacy Policy and Acceptable Use Policy form part of these terms. You accept them by ticking the consent box when you create your account.
2. The service
Shamel Hub is cloud software for ZATCA e-invoicing, counter sales, inventory, purchasing, accounting and reports. We improve the service over time. We will not materially reduce the core features of your plan during a paid subscription year without telling you in advance.
3. Accounts and users
- Give accurate information when you register and keep it up to date.
- The account owner controls the account: which users can sign in, their roles and permissions, the data export and the request to close the account.
- You are responsible for what happens under your users' sign-ins. Keep passwords confidential and tell us at once if you suspect unauthorised use.
4. Your tax and e-invoicing responsibilities
You remain responsible for the accuracy of the invoices and records you create, for your VAT registration, for onboarding your e-invoicing solution with ZATCA, and for filing your returns and paying your taxes and zakat on time. Shamel Hub is a tool. It does not give tax, accounting or legal advice.
5. Free trial
Each plan comes with a free trial, and its length is shown on the pricing page and at sign-up (currently 14 days for Starter and Business and 30 days for Enterprise). No payment card is needed to start.
To keep using the service after the trial, subscribe to a paid yearly plan. If you do not, your account is restricted at the end of the trial, and your data stays available for export for [30] days before it is deleted under our Privacy Policy.
6. Plans, prices and VAT
- Every plan is billed once a year, in advance, in Saudi riyals. There is no monthly billing. Any monthly figure on our pricing page is shown only to help you compare plans.
- Prices on the pricing page exclude value added tax. VAT at 15% (or the rate in force at the time) is added to the tax invoice we issue to you.
- Each plan has limits, such as the number of users, companies and invoices. These are shown on the pricing page and in your subscription settings.
7. Discounts
If you sign up while a plan discount is running, that discount percentage is kept on your subscription for your first paid year, even if the offer ends before your trial does. From the first renewal onwards, the plan's regular price at that time applies, unless we agree otherwise in writing. Any discount we negotiate with you individually is set out in your subscription terms.
8. Invoices and payment
We issue a tax invoice at the start of each subscription year. It is payable within [7] days, either online by card, mada or Apple Pay through Moyasar, a payment provider licensed in Saudi Arabia, or by bank transfer to the account shown on the invoice. When you pay online, you enter your card details on the payment provider's page, and we never see or store your full card number. If an invoice stays unpaid, we will remind you. After [14] days overdue we may restrict or suspend the account until the invoice is paid. Your data is not deleted because of a late payment while the account remains open.
9. Renewal
- Your subscription renews automatically for another year on its renewal date unless you cancel before that date.
- We remind you before your renewal date (currently 30, 14, 7, 3 and 1 days before) and before your trial ends.
- Renewal is charged at the plan's current price. If the price of your plan goes up, we will tell you at least [30] days before your renewal date, so that you can cancel if you do not accept the new price.
10. Cancellation and refunds
You can cancel at any time before your renewal date by sending a request from the app or by writing to hello@shamelhub.sa. Cancellation takes effect at the end of the subscription year you have paid for, and you keep full access until then.
Subscription fees already paid are not refundable, except where the law requires a refund or where we have materially breached these terms. [Lawyer to review the refund policy against the E-Commerce Law and consumer protection rules.]
11. Closing your account and your data
The account owner can download all of the company's data at any time and can ask us to close the account from Settings → Data and privacy. We confirm the request with the owner before acting on it. After closure, we keep the data for [30] days in case you change your mind, and then delete it, except for records the law requires us to keep (see our Privacy Policy).
12. Suspension and termination by us
We may suspend or end your access if you materially breach these terms or the Acceptable Use Policy, if an invoice remains unpaid as described above, or if the law requires it. Where possible, we will tell you first and give you a reasonable time to fix the problem.
13. Your data and our software
You own the data you enter. You allow us to host, copy, process and transmit it only as needed to provide the service, including to ZATCA as the law requires. We own the Shamel Hub software, design and brand. These terms do not transfer any of our intellectual property to you. If you send us suggestions, we may use them without any obligation to you.
14. Availability and support
We make reasonable efforts to keep the service available and to schedule maintenance outside business hours. Some features depend on systems we do not control, such as ZATCA's platform and payment providers. Unless we agree otherwise in writing, we do not commit to a specific uptime level.
15. Warranties and liability
As far as the law allows, the service is provided "as is". We are not liable for indirect or consequential losses, lost profits, or fines and penalties that result from data you entered or from deadlines you missed. Our total liability under these terms is limited to the subscription fees you paid in the 12 months before the claim arose. Nothing in these terms limits liability that cannot be limited by law.
16. Changes to these terms
We may update these terms. We will tell account owners about material changes at least [30] days before they take effect. If you do not agree, you can cancel before the change takes effect. Where the law requires it, we will ask you to accept the new terms.
17. Governing law and disputes
These terms are governed by the laws of the Kingdom of Saudi Arabia. We will first try to settle any dispute amicably. If that fails, the competent courts in [Riyadh] have jurisdiction.
